1. Introduction

Welcome to Docuva.AI. These Terms of Service ("Terms") govern your access to and use of the Docuva.AI website and AI-powered healthcare documentation services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

Please read these Terms carefully before using our Services. If you do not agree to these Terms, you may not access or use the Services.

2. Definitions

"You" refers to the individual accessing or using the Services, or the company or other legal entity on behalf of which such individual is accessing or using the Services.

"We," "us," and "our" refer to Docuva.AI.

"Content" refers to any information, data, text, software, graphics, messages, or other materials that can be accessed through our Services.

"User Content" refers to any Content that you submit, upload, or otherwise make available through our Services.

3. Account Registration and Security

To use certain features of our Services, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Healthcare Compliance

Our Services are designed to assist healthcare providers with documentation and may involve the processing of protected health information (PHI) as defined by the Health Insurance Portability and Accountability Act (HIPAA).

If you are a covered entity or business associate under HIPAA and use our Services to process PHI, you agree to enter into a Business Associate Agreement (BAA) with us. You are responsible for ensuring that your use of our Services complies with all applicable healthcare laws and regulations.

5. License and Use Restrictions

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use our Services for your internal business purposes.

You agree not to:

  • Use the Services in any way that violates any applicable law or regulation
  • Use the Services to transmit any material that is defamatory, offensive, or otherwise objectionable
  • Attempt to gain unauthorized access to any portion of the Services or any related systems or networks
  • Interfere with or disrupt the integrity or performance of the Services

6. User Content

You retain all rights in, and are solely responsible for, the User Content you submit to our Services. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, create derivative works based upon, distribute, and display the User Content for the purpose of operating and providing our Services.

You represent and warrant that:

  • You own or have the necessary rights to the User Content
  • The User Content does not violate the rights of any third party
  • The User Content complies with these Terms and all applicable laws and regulations

7. AI and Machine Learning

Our Services utilize artificial intelligence and machine learning technologies. You acknowledge that:

  • AI-generated content may not always be accurate or complete
  • Healthcare professionals should review all AI-generated documentation before use
  • We may use de-identified and aggregated data to train and improve our AI models

8. Intellectual Property

The Services and their original content, features, and functionality are and will remain the exclusive property of Docuva.AI and its licensors. The Services are protected by copyright, trademark, and other laws of both India and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

9. Subscription and Payment

Some of our Services require payment of fees. You agree to pay all fees in accordance with the pricing and payment terms presented to you for the Services. You agree to provide us with accurate and complete billing information.

All fees are exclusive of taxes, which we may charge as applicable. Fees paid are non-refundable except as required by law or as explicitly stated in these Terms.

10. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DOCUVA.AI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICES.

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID US IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to defend, indemnify, and hold harmless Docuva.AI, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be exclusively brought in the courts located in Mumbai, India, and you consent to the personal jurisdiction of such courts.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
